BIOGRAPHY

The Honorable Chip Flowers is the founding President and Managing Member of The Flowers Counsel Group, LLC and leads the firm’s practice. He is also a former State Treasurer and Co-Chair of the National Democratic State Treasurers Association. Mr. Flowers’ practice areas include representing and advising clients in corporate procurement, mergers & acquisitions, private equity investments, corporate transactions and corporate fiduciary and governance matters (including legal opinions). He has served as lead counsel for Global and Fortune 500 clients and the nation’s leading academic institutions, including Harvard University, E.l. DuPont Nemours & Co., ING Direct, fsb (now Capital One, N.A.), Barclays Bank, N.A., Bank of America, Diageo North America, N.A., Northeastern University, Emerson College, Merge eClinical, Inc. (now part of IBM), PricewaterhouseCoopers LLP, Prudential Financial and AstraZeneca Pharmaceuticals, L.P. Mr. Flowers has advised clients in procurement and mergers & acquisitions transactions totaling in excess of $1 billion.

Mr. Flowers practices in a variety of sectors and industries, including chemical, finance, insurance,
agriculture, pharmaceutical, technology, energy, marketing, public relations and education.

In 2010, Mr. Flowers became the first African-American elected to a statewide office in Delaware. As State Treasurer, Mr. Flowers made over $55 million for the State of Delaware while restructuring, managing and protecting the state’s $2 billion investment portfolio in a difficult economic climate. During his four year term in office, Mr. Flowers established a relationship among his fellow state treasurers and the White House and proposed bold ideas (including creating a state stock index, economic index and economic early warning system), while fostering important economic and financial policy debates. By seeking unprecedented reforms to a state financial system that had failed to keep pace with the demands of the 21st century global economy, Mr. Flowers was able to adopt many innovative ideas through his “Standing Up for Change” campaign. Currently, he is an active member of the Massachusetts Democratic Party and was chosen as a delegate to the Democratic National Convention in 2004 and 2012 representing Delaware. He is the recipient of the Don K. Price Award from Harvard University’s John F. Kennedy School of Government.

Mr. Flowers is an active member in the Massachusetts and Delaware legal communities, previously serving as a member and chairman of the Delaware State Bar Association’s Multicultural Judges & Lawyers Section. He remains a member of the Corporate and Commercial Law sections of the association. Mr. Flowers has also served on the Board of the National Association of Purchasing Managers (Delaware Chapter) and is a member of the Institute of Supply Management and the National Association of College & University Attorneys. Mr. Flowers has authored a number of articles for various legal publications relating to procurement and corporate law.

Prior to founding the firm, Mr. Flowers started his legal career at Skadden, Arps, Slate, Meagher & Flom LLP in the Mergers & Acquisitions group. Prior to working at Skadden, Mr. Flowers worked at Weil, Gotshal & Manges, LLP and Prickett, Jones & Elliott, P.A. Mr. Flowers also worked in the White House Office of Political Affairs under President Bill Clinton.
